Terms of Service

1. Acceptance of Terms

By accessing or using SoulsMarket ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

SoulsMarket is a marketplace platform that enables users to discover, download, and share AI agent configurations ("Souls"). Souls may include personality definitions, workflows, instructions, and other configuration files for AI agents.

3. User Accounts

To access certain features, you must create an account using OAuth authentication (Google or GitHub). You are responsible for maintaining the confidentiality of your account and for all activities under your account.

  • You must provide accurate information when creating an account
  • You must be at least 13 years old to use the Service
  • You may not share your account with others
  • You are responsible for all activity that occurs under your account

4. User Content

When you upload Souls or other content to the Service:

  • You retain ownership of your content
  • You grant SoulsMarket a license to host, display, and distribute your content
  • You represent that you have the right to share the content
  • You agree not to upload malicious, illegal, or infringing content

5. Prohibited Conduct

You agree not to:

  • Upload malware, viruses, or harmful code
  • Upload content that infringes intellectual property rights
  • Upload content that is illegal, harmful, or offensive
  • Attempt to gain unauthorized access to the Service
  • Use the Service for spam or unsolicited communications
  • Interfere with or disrupt the Service
  • Circumvent any access controls or rate limits

6. Intellectual Property

The Service and its original content (excluding user-uploaded Souls) are owned by SoulsMarket and are protected by copyright, trademark, and other laws. Our trademarks may not be used without prior written permission.

7. Payments, Fees, and Payouts

7.1 Pricing and Platform Fee

For paid Souls, SoulsMarket charges a platform fee of 15%. Sellers receive 85% of the sale price. All payments are processed securely through Stripe.

7.2 Earnings Hold Period

Seller earnings are held for 14 days after each purchase before becoming available for payout. This hold period protects against fraud, chargebacks, and payment disputes. After the 14-day hold, earnings automatically move to your available balance.

7.3 Digital Goods and Refunds

All Souls are digital goods delivered immediately upon purchase. By completing a purchase, you acknowledge that you receive immediate access to the digital content and waive any right of withdrawal. All sales are final and non-refundable. In exceptional circumstances (e.g., fraudulent listings, non-functional content), we may issue refunds at our sole discretion.

7.4 Self-Purchasing Prohibition

Sellers are prohibited from purchasing their own Souls. Self-purchasing to inflate download counts, manipulate rankings, or exploit the payout system is considered fraud. Violations may result in immediate account suspension, forfeiture of earnings, and permanent ban from the platform.

7.5 Payouts

Sellers may request payouts once their available balance reaches the minimum payout threshold of $10.00. Payouts are processed via PayPal, Wise, or bank transfer. We aim to process payout requests within 3-5 business days. SoulsMarket reserves the right to delay or withhold payouts pending investigation of suspicious activity.

8. AI Content Disclaimer

SoulsMarket is a marketplace platform. We do not create, endorse, or guarantee the behavior of any Soul listed on the platform. You acknowledge and agree that:

  • AI agents configured with Souls may produce unexpected, inaccurate, or inappropriate outputs
  • You assume full responsibility for how you use any Soul you download or purchase
  • You should test Souls in a sandboxed or controlled environment before deploying them in production
  • SoulsMarket is not liable for any damages, losses, or consequences arising from the use of any Soul
  • AI-generated outputs may not reflect the views or intentions of the Soul creator or SoulsMarket

9. Creator Responsibilities

If you upload or sell Souls on the platform, you agree to:

  • Provide accurate and honest descriptions of what your Soul does
  • Not include malware, prompt injection attacks, or any code designed to harm users or systems
  • Not upload content that infringes on intellectual property rights of others
  • Not impersonate other creators, organizations, or AI systems
  • Respond to buyer concerns and questions about your Souls in good faith
  • Keep your Souls updated if critical issues are discovered

Failure to comply with these responsibilities may result in removal of your Souls, suspension of earnings, or termination of your account.

10. DMCA and Takedown Requests

We respect intellectual property rights and respond to notices of alleged infringement. If you believe a Soul on the platform infringes your copyright, please send a written notice to legal@soulsmarket.com including:

  • Identification of the copyrighted work you claim has been infringed
  • Identification of the Soul or content that you claim is infringing, with enough detail to locate it
  • Your contact information (name, address, phone, email)
  • A statement that you have a good-faith belief the use is not authorized by the copyright owner
  • A statement, under penalty of perjury, that the information in the notice is accurate
  • Your physical or electronic signature

Upon receiving a valid DMCA notice, we will investigate and may remove the allegedly infringing content. We will notify the creator, who may file a counter-notice if they believe the removal was in error.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee that:

  • The Service will be uninterrupted or error-free
  • User-uploaded Souls will work as described
  • The Service will meet your specific requirements

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SoulsMarket shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

13. Termination

We may terminate or suspend your account at any time for violations of these Terms. Upon termination, your right to use the Service will immediately cease.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
